FirstRep for Gyms Terms of Service
These business terms govern access to the FirstRep platform for gyms, fitness studios, and similar organizations.

Parties and Scope
These Terms of Service govern access to and use of the business-facing FirstRep platform provided by FirstRep Limited for fitness centers, gyms, studios, and similar businesses.
They apply to gym administration tools, member engagement features, retention workflows, analytics, staff access, reporting, and related services made available through FirstRep for Gyms.
Acceptance and Authority
By creating an account, clicking to accept, or otherwise using the service, you confirm that you have authority to bind the gym or business you represent.
- • You must be at least 18 years old.
- • You must provide accurate business and account details.
- • If you do not have authority to act for the business, you must not use the service.
Service Description
FirstRep provides software tools designed to support gym operations, attendance tracking, retention workflows, staff management, and operational insight.
FirstRep provides software only. We do not operate your gym, supervise staff, manage members on your behalf, or make business decisions for you.
We may improve, update, modify, or discontinue features from time to time. Where practical, we will provide reasonable notice for material changes affecting core functionality.
Accounts and Security
Only authorized representatives may create and manage administrative accounts. The customer is responsible for all activity under its account and for ensuring staff access is appropriate and revoked when no longer needed.
- • Protect login credentials and keep them confidential.
- • Notify us promptly of suspected unauthorized access.
- • Maintain reasonable device, password, and access controls.
Customer Data and Privacy
The customer retains ownership of business, staff, member, attendance, engagement, and configuration data submitted to or generated through the service.
You grant FirstRep a non-exclusive license to host, process, store, transmit, and display that data solely to provide, secure, support, and improve the service.
For member and staff personal data processed through the platform, the customer acts as controller and FirstRep acts as a processor or service provider on the customer's behalf.

Fees, Billing, and Free Periods
FirstRep for Gyms is offered on a subscription basis. Plans may renew automatically unless cancelled before the next billing cycle.
- • Free trials and promotions may be offered at our discretion.
- • Unless cancelled in time, a stored payment method may be charged automatically when a trial or promotion ends.
- • Fees are generally non-refundable except for billing errors or approved disputes.
Optional In-App Member Payments
FirstRep may allow gyms to enable in-app payment features so members can pay for or renew memberships, plans, access, or related services through the FirstRep platform. This feature is optional and applies only where the customer has enabled it or otherwise agreed to use it.
By enabling or using in-app member payments, the customer authorizes FirstRep to support payment collection through supported third-party payment processors, including Flutterwave or other providers we may support from time to time.
The customer remains solely responsible for providing the membership, facility access, services, classes, benefits, customer support, cancellation handling, refund policy, and access policy sold or renewed through the platform.
FirstRep may deduct or offset applicable payment processor fees, FirstRep service fees or commissions, chargeback fees, refunds, reversals, taxes, failed-payment adjustments, and other amounts owed before remitting any balance to the customer.
If a payment is refunded, reversed, charged back, disputed, found to be fraudulent, or otherwise adjusted after settlement to the customer, FirstRep may recover the relevant amount by deducting it from future payouts or requiring repayment from the customer.
The customer must maintain accurate member records, payment records, access records, check-in logs, cancellation records, and any other evidence reasonably needed to respond to payment disputes or chargebacks. The customer must provide requested dispute evidence within the timeline specified by FirstRep, which may be as short as 24 hours where required by a payment processor.
The customer must publish and honor clear refund, cancellation, membership-access, and service policies for its members, and is responsible for ensuring those policies comply with applicable law.
FirstRep may suspend or disable in-app member payments for the customer if there are excessive disputes, suspected fraud, inaccurate bank or settlement details, unresolved member complaints, failure to provide dispute evidence, breach of these terms, or any activity that creates legal, financial, reputational, or operational risk for FirstRep.
Acceptable Use and Outcome Expectations
You agree not to misuse the service or interfere with it.
- • No unauthorized access to systems or data.
- • No reverse engineering, copying, or resale of the service.
- • No unlawful or prohibited use.
FirstRep is designed to support better engagement and retention, but specific business outcomes are not guaranteed. Results depend on implementation, staff usage, member participation, and other factors outside FirstRep's control.
Intellectual Property and Confidentiality
FirstRep retains all rights in the software, platform design, workflows, analytics systems, documentation, and related technology.
Each party must protect the other party's confidential information and use it only as needed to perform under these terms, subject to lawful disclosure requirements.
Suspension and Termination
The customer may cancel at any time, with cancellation taking effect at the end of the current billing period unless otherwise agreed in writing.
FirstRep may suspend or terminate access if:
- • fees remain unpaid,
- • the service is misused or abused,
- • these terms are violated, or
- • the service is used unlawfully.
Disclaimers, Liability, and Governing Law
The service is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation.
To the maximum extent permitted by law, FirstRep is not liable for indirect, incidental, special, or consequential damages, and total liability is limited to the subscription fees paid during the preceding billing period.
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be handled in Lagos, Nigeria, including arbitration where applicable.
